Master Terms & Conditions

1.0Contracting Entity & Acceptance of Terms

Migobucks Technologies Private Limited ("Migobucks", "Company", "we", "us", or "our") is a technology product and software engineering company incorporated under the laws of India.

These Master Terms apply to all digital products, proprietary software, Software-as-a-Service (SaaS) offerings, mobile apps, desktop executable packages, and specialized customer deployments operated under the Migobucks brand and its specialized product verticals (including but not limited to Quifl, Zemwa, Woqme, Heumiq, and custom enterprise installations).

If you are executing these terms on behalf of a corporation, organization, or government body, you represent and warrant that you possess full corporate power and statutory authority to bind that entity to these Master Terms. If you do not accept these terms in full, you must immediately cease accessing our platforms and uninstall all client software.

2.0Product Ecosystem & Delivery Modalities

Migobucks distributes software across multiple form factors and deployment architectures. These terms apply uniformly to:

Where a specific product (e.g., Quifl Health OS or specialized payment POS software) requires industry-specific operational regulations (such as medical data handling or cash settlement liabilities), a concise Product-Specific Schedule will be provided alongside the software and shall supplement these Master Terms.

3.0User Accounts, Identity & Tenant Responsibilities

To utilize certain platforms, you must create a registered account or accept an administrator invitation. You agree to provide accurate, current, and complete corporate and contact information during registration and maintain its prompt accuracy.

• Credential Security: You are solely responsible for maintaining the confidentiality of administrative credentials, API access tokens, and multi-factor authentication (MFA) devices.
• Organizational Actions: Enterprise account administrators bear legal responsibility for all activities, data injections, and permissions granted to staff or sub-users under their account.
• Unauthorized Access Notification: You must immediately report any breach of security, credential compromise, or unauthorized platform usage to security@migobuckstech.com.

4.0Acceptable Use & Platform Integrity

You agree to use Migobucks technologies solely for legitimate business, professional, or personal operations in strict compliance with all applicable local, national, and international laws.

5.0Intellectual Property, Software Licenses & Customer Data

Migobucks Proprietary Rights: All software code, UI designs, system architectures, database schemas, algorithms, trademarks, visual assets, documentation, and technical improvements remain the exclusive intellectual property of Migobucks Technologies Private Limited.

Grant of License: Subject to timely payment of subscription or licensing fees, Migobucks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the software during the agreed contract term solely for your internal operations.

Customer Data Ownership: You retain complete and exclusive ownership of all operational data, business records, customer files, and proprietary content ingested into your software instance ("Customer Data"). Migobucks does not sell, market, or claim ownership over your data. You grant Migobucks only the limited technical rights necessary to host, backup, encrypt, and process Customer Data to fulfill our service delivery.

6.0Sovereign Cloud, Dedicated VPS & Service Level Commitments

For enterprise clients deployed on dedicated VPS or private sovereign cloud infrastructure:

• Uptime Objective: Migobucks targets a 99.9% monthly service availability for cloud infrastructure, excluding pre-announced maintenance windows or external ISP backbone disruptions.
• Data Isolation: Dedicated VPS deployments feature physical or hypervisor-level tenant isolation, ensuring zero data commingling with third-party organizations.
• Automated Backups: Automated snapshots are maintained in accordance with the purchased service plan. Customers requiring custom zero-loss RPO/RTO parameters must document them in their specific Statement of Work (SOW).

7.0Fees, Subscription Billing & Taxation

Services are provided on a recurring subscription (monthly or annual) or milestone-based enterprise contract basis.

• Invoicing & Currencies: Invoices are denominated in Indian Rupees (INR) or United States Dollars (USD) as specified during checkout or contract execution.
• Taxes: All listed fees are exclusive of statutory taxes, Goods and Services Tax (GST), or value-added taxes, which will be charged in accordance with applicable tax regulations.
• Late Payments: Accounts with undisputed overdue balances beyond 15 business days may face temporary suspension of administrative access until settlement.

8.0Warranties, Disclaimers & Limitation of Liability

To the maximum extent permitted by applicable law, Migobucks software is provided "AS IS" and "AS AVAILABLE". While we implement rigorous quality assurance and enterprise-grade security protocols, Migobucks does not warrant that software operation will be completely uninterrupted, error-free, or compatible with all third-party legacy hardware.

9.0Termination & Data Retrieval

Either party may terminate a subscription or agreement in accordance with the cancellation policy or upon 30 days written notice for material breach. Upon termination:

• All licenses granted under these terms immediately cease;
• Clients have a 30-day graceful retrieval window to export all Customer Data via standard structured export formats (JSON, CSV, SQL dumps);
• Following the retrieval window, client databases and server instances are securely sanitized and decommissioned in accordance with our data retention schedule.

10.0Governing Law & Dispute Resolution

These Master Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles.

The parties agree that any dispute, controversy, or claim arising out of this agreement shall first be subjected to good-faith mutual negotiations. In the event negotiations fail, the courts located in Ernakulam / Bengaluru, India shall possess exclusive territorial jurisdiction over any legal proceedings.
